This website is an online platform through which Service Professionals can create, collate and display a service profile to make themselves available to Customers who hire from the website, and Costumers can register for an account that gives them levels of access to the website and Service Professional Member profiles.

PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING THE ServiseWala WEBSITE AS THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS. THESE INCLUDE VARIOUS LIMITATIONS AND EXCLUSIONS.

REGISTRATION

A. Eligibility

To access our Services through our Website, you must be a legal entity, or individual of eighteen (18) years of age or older who can from legally binding contracts. To become a Registered User, you must accept all of the terms and conditions in, incorporated by reference in, and linked to, these Terms of Service. By becoming a Registered User, you agree to: (1) abide by the Terms of Service and the processes, procedures, and guidelines described throughout the Website; (2) be financially responsible for your use of the Website and the purchase or delivery of services; and (3) perform your obligations as specified by any project Agreement that you accept, unless such obligations are prohibited by law or by the Terms of Service. ServiseWala reserves the right, in its sole discretion, to refuse, suspend, or terminate Service to anyone.

B. Registration

To become a Registered User and to access Service you must register for an Account. You agree to provide true, accurate and complete information as prompted by the registration from and all forms you access on the Website, and to update this information to maintain its truthfulness, accuracy and completeness.

C. Accounts & Profiles

General. Once you have registered with the Website as a Registered User, the website will create your Account with servisewala.com and associate it with an account number. Username and password. During registration, you will be asked to choose a username and password for the Account. As a Registered User, You agree and you are entirely responsible to safeguard and maintain the confidentiality of the username and password you use to access this website. You authorize ServiseWala to assume that any person using the Website with your username and password is you or is authorized to act for you. You agree to notify us immediately if you suspect any unauthorized use of the Account.

RELATIONSHIPS.

A. Costumer and Service Professional

1) Project Agreement.

The engagement, contracting and management of a project are between a Costumer and Service Professional. Upon acceptance of a quote, the Costumer agrees to purchase, and the Service Professional agrees to deliver, the services and related deliverables in accordance with the following agreements: (a) the agreement between Costumer and Service Professional including the Project Description, and other terms and conditions as communicated between Costumer and Service Professional on the phone call and App, (b) these Terms of Service, and (c) any other content uploaded to the website by ServiseWala (collectively, the “Project Agreement”). You agree not to enter into any contractual provisions in conflict with these Terms of Service. Any provision of a Project Agreement in conflict with these terms of Service is void. Costumer is responsible for managing, inspecting, accepting and paying for satisfactory services and deliverables in accordance with the Project Agreement in a timely manner. Service Professional is responsible for the performance and quality of the services in accordance with the Project Agreement in a timely manner. Costumer and Service Professional each covenants and agrees to act with good faith and fair dealing in performance of the Project Agreements.

2) Independence. Costumer and Service Professional each acknowledges and agrees that their relationship is that of independent contractors. The Service Professional shall perform services as an independent contractor and nothing in these Terms of Service shall be deemed to create a partnership, joint venture, agency, or Costumer-employee relationship between Service Professional and Costumer or between ServiseWala and any Costumer or Service Professional.

THIRD-PARTY BENEFICIARY OF PROJECT AGREEMENT.

Costumer and Service Professional each acknowledges and agrees that the value, reputation, and goodwill of the website depend on their performance of their covenants and agreements as set forth in their Project Agreement. Costumer and Service Professional therefore appoint ServiseWala as a third-party beneficiary of their Project Agreement for purposes of enforcing the obligations owed to, and the benefits conferred on, ServiseWala by these Terms of Service. Costumers and Service Professionals further agree that ServiseWala has the right to take such actions with respect to the Project Agreement or their Accounts, including without limitation, suspension, termination, or any other legal actions, as ServiseWala in its sole discretion deems necessary to protect the value, reputation, and goodwill of the Website.

TAXES.

Service Professionals are responsible for payment and reporting of any taxes. ServiseWala is not obligated to determine the applicability of any taxes or to remit, collect or report any such applicable taxes, unless otherwise agreed to by both parties pursuant to the terms of any provision of tax services provided to you by ServiseWala. Further, you understand that ServiseWala shall not be responsible or liable in any manner in relation to tax liability of a Service User or a Service Professional. You agree that you will abide by any and all applicable state and federal tax statutes, regulations and common law. In the event ServiseWala receives a notice of non-compliance with any such statute, regulation or common law, including without limitation, an Internal Revenue Service levy, ServiseWala will deem such receipt a breach of this section and will suspend your account until ServiseWala received an Internal Revenue Service Release.

FEES POLICY.

ServiseWala deducts one or more of the following fees, as applicable, from payments made by Costumers to Service Professionals and Service professionals to ServiseWala using the ServiseWala Billing and Payment Services:

a) FEES INCURRED BY SERVICE PROFESSIONALS

Joining ServiseWala, opening an Account, posting Services and viewing posted Services is free.

For service professionals service fee is 10 to 15% on every project and will be taken from the Service Professional before settlement.

ServiseWala reserves the right at its sole discretion to charge fees to Service Professionals for other services that ServiseWala may provide in the future.

b) FEES INCURRED BY SERVICE USERS

Joining ServiseWala, opening an account, viewing posted services, and bidding on posted services is free.

ServiseWala currently does not charge Service Users for transactions completed on the Website between Service Users and Services Professionals. However, ServiseWala reserves the right to charge a fee to Service Users in the future on a per-transaction basis or in any other manner, and reserves the right to do so in its sole discretion. Changes to this Fee Policy are effective after ServiseWala has provided you with thirty (30) days' notice by posting the changes on the Website.

If applicable, you agree to pay all fees or charges to your Account based on ServiseWala's fees, charges, and billing terms then in effect. If you do not pay on time or if ServiseWala cannot charge your credit card, any payment gateway or other payment method for any reason, ServiseWala reserves the right to either suspend or terminate your access to the Website and Account and terminate these Terms of Use.

A. Costumer Refund Fee. Refunds are processed if the customer has cancelled request before start the work within 4 days. Before start the work the Costumer request withdraws funds from their account there is a Cancellation fee will not be charged. After start the work if you cancel your Account at any time, you will not receive any refund. ServiseWala reserves its right to initiate appropriate legal proceedings, if necessary, in its sole discretion.

We reserve the right to change Service fees, processing fees or any other fee that may be charged by ServiseWala at any time.

BILLING AND PAYMENT SERVICES.

At the time of hiring for a service, Costumers must provide funds equivalent to the total service price. The customer has to pay half amount of the total so that the professional gets started. The payment is protected by the ServiseWala Payment System. Only release the payment to the professional once you are 100% happy with the work that has been delivered.

Once requirements have been received from the Costumer, the Service Professional must confirm of work. Failing to respond within one (1) working day may mean the Costumer requests and will be entitled to a refund. Provide regular progress updates and respond within one (1) working day to all messages from the Costumer. Complete the project, including handover of all deliverables within the delivery timescales agreed with the Costumer. If missing a previously agreed deadline is unavoidable then the Service Professional must inform the Costumer immediately and provide a revised delivery date. Failing to deliver the work within agreed timescales, or repeatedly revising previously agreed deadlines, may mean the Costumer requests a cancellation of the custom Project and will be entitled to a refund of any funds. Late or non-delivery of a project will negatively affect the Service Professional’s rankings on ServiseWala.

A. Invoice Service. The ServiseWala Invoice Service enables Service Professional to issue invoices and enables Customers to make payments for services. When the project is completed the Service Professional will raise an Invoice including the release of funds held in the ServiseWala payment system. The Costumer must pay the Invoice within seven (7) days of the Invoice being raised. A. General. When a Service Professional completes a project for a Costumer, the Service Professional will complete the electronic invoice form (the “invoice”) and submit it to ServiseWala via the app. A Service Professional must complete and submit an Invoice to ServiseWala for each and every project. The Service Professional will provide ServiseWala with a list of items, including, but not limited to, payment required and description of project (s), to be included on the Invoice (“Invoice Details”). Such Invoice Details will not be final until and unless such Service Professional has confirmed the accuracy of the Invoice Details or waived the right to review the Invoice Details. If a Service Professional waives his/her or its right to review the Invoice Details, all items in the Invoice Details will be included on the Invoice as received by ServiseWala. ServiseWala ENCOURAGES ALL SERVICE PROFESSIOANL TO REVIEW INVOICE DETAILS. ServiseWala will submit the Invoice to the Costumer and the Costumer shall submit the payment specified in the Invoice (“Payment”) to ServiseWala. When a Costumer makes a payment through the ServiseWala Invoice Service, ServiseWala deducts the appropriate Service Charges due ServiseWala as described on the website and delivers the remainder of the Payment to the Service Professional.
